It is a statutory requirement to have at least One resident Director who has his principal place of residence within Malaysia for setting up a Private Limited Company (Sdn Bhd) in Malaysia. Resident Director can be local Malaysian

REQUIREMENTS TO FORM SDN BHD COMPANY

1. PAID UP CAPITAL
A minimum paid up capital of RM1-00 only

2. MINIMUM OF ONE DIRECTOR
A minimum of one (1) Director

3. DIRECTOR NOT A BANKRUPTCY
The Director is not a bankrupt and has not been convicted and imprisoned for a period of past 5 years

4. MINIMUM ONE SHAREHOLDERS
One (1) shareholder to subscriber to the share(s) of the company

5. ONE COMPANY SECRETARY
It is compulsory to have minimum of one Company Secretary, a Company Secretary must be a member of one of the prescribed professional bodies or licensed by the SSM

6. MALAYSIAN REGISTERED ADDRESS
Every company must have a registered address in Malaysia, it is common practice to have the secretaries office as the Registered office
